These Terms of Use govern your access to and use of the Paymorz platform, website, mobile applications, and related services.

1. Purpose and Applicability

This Acceptable Use & Prohibited Transactions Policy ("Policy") sets forth the lawful, ethical, and responsible standards governing the use of the Paymorz™ Platform, operated by Quantumcona LLP ("Company," "we," "our," or "us").

This Policy applies to:

  • All users of the Paymorz™ Platform, including vendors, service providers, client companies, and authorized business users;
  • All transactions processed through Paymorz™'s integrated payment gateways and third-party partners; and
  • All data, content, and business activities conducted using the Platform.

The Platform is intended exclusively for use by Indian businesses and vendors operating within India.

By using Paymorz™, you agree to comply with this Policy, the Paymorz™ Terms of Service, and all applicable Indian and international laws, including the:

  • Information Technology Act, 2000 and Intermediary Guidelines (2021),
  • Prevention of Money Laundering Act, 2002 (PMLA),
  • Foreign Exchange Management Act, 1999 (FEMA), and
  • RBI Payment Aggregator and Payment Gateway Guidelines, 2020.

2. Lawful Use of the Platform

You may only use the Platform for legitimate, lawful business purposes, including vendor payments, service-based B2B engagements, and invoice-based disbursements.

You must not use the Platform to:

  • Violate Indian law or applicable foreign law;
  • Circumvent regulatory controls or restrictions; or
  • Engage in activity that could bring Paymorz™ into disrepute or expose it to legal or financial liability.

Permitted activities include vendor onboarding, invoice submission, approval workflows, service delivery tracking, and business-to-business (B2B) payments.

The Platform may only be used for business-related vendor workflows and not for personal payments or consumer transactions.

3. General Principles of Acceptable Use

Users must:

  • Conduct transactions honestly, transparently, and in good faith;
  • Provide accurate and verifiable information during registration and KYC;
  • Respect intellectual property and privacy rights;
  • Protect confidential data and avoid unauthorized disclosures;
  • Use the Platform responsibly without attempting to disrupt systems, APIs, or other services; and
  • Refrain from any behavior that could harm or overload the Platform's operations.

4. Prohibited and Restricted Activities

You may not use the Platform, its payment systems, or any associated service for the following activities:

(a) Illegal or Unlawful Activities

Including but not limited to:

  • Money laundering, terrorism financing, tax evasion, or financial fraud;
  • Bribery, corruption, extortion, or fraudulent representation;
  • Identity theft, impersonation, or forgery of documents;
  • Transactions in violation of PMLA, FEMA, or RBI directives.

(b) Prohibited Goods and Services

Prohibited activities include the sale or promotion of:

  • Narcotics, drugs, or controlled substances;
  • Firearms, ammunition, explosives, or weapons;
  • Pornographic, obscene, or sexually explicit materials;
  • Counterfeit goods, stolen property, or unlicensed replicas;
  • Gambling, betting, lotteries, or games of chance;
  • Virtual currencies or crypto-assets not recognized by RBI;
  • Human trafficking, escort services, or prostitution;
  • Animal parts, endangered species, or illegal wildlife trade;
  • Pyramid or Ponzi schemes;
  • Sale of government IDs, licenses, or regulated goods without authorization.

(c) Financial Misuse

You may not:

  • Use Paymorz™ for personal fund transfers, money rotation, or "pass-through" transactions;
  • Split payments to evade transaction thresholds or compliance review;
  • Submit false or misleading transaction purposes;
  • Attempt chargeback manipulation or fake disputes;
  • Process payments on behalf of unverified or banned users.
  • Submitting fake invoices, artificially inflated invoices, or invoices not corresponding to genuine business services.
  • Routing payroll, stipends, or salaries through the platform unless explicitly supported in the business agreement.
  • Using Paymorz as a settlement layer between unrelated parties.
  • Raising multiple split invoices for the same service to bypass transaction thresholds or compliance review.

(d) Platform Misuse

Prohibited behaviors include:

  • Uploading malicious code, phishing links, or malware;
  • Hacking, reverse engineering, or misuse of APIs;
  • Manipulating invoices, vendor approvals, or payment workflows;
  • Sending spam, defamatory, or harassing content;
  • Violating the intellectual property or publicity rights of others.
  • Unauthorized scraping of vendor catalogs or business data.
  • Submitting documents that belong to another entity or misrepresenting corporate affiliation.

(e) Restricted Sectors (High-Risk or Controlled by RBI/FEMA)

Transactions related to the following sectors require prior written approval from Paymorz™ and may be subject to enhanced compliance checks:

  • Cross-border remittances to high-risk jurisdictions;
  • Forex transactions without valid purpose codes under FEMA;
  • High-value donation transfers, religious funding, or political contributions;
  • Precious metals, gems, and jewelry trade;
  • Unregulated financial advisory or investment solicitation.

Any business category classified as 'prohibited' or 'restricted' by our payment gateway partners (Razorpay, Cashfree, Paytm, etc.) will not be onboarded.

5. Monitoring and Compliance

Paymorz™ continuously monitors activity on its Platform to ensure legal and policy compliance.

Monitoring may include:

  • Automated anti-fraud, AML, and KYC verification tools;
  • Transaction risk scoring and velocity analysis;
  • Manual compliance reviews by trained officers; and
  • Information exchange with banks, payment gateways, and regulatory authorities.

Identity verification, where required (PAN, GST, Aadhaar), is conducted securely through approved verification partners such as Sandbox.co.in.

If suspicious activity is detected, Paymorz™ may:

  • Suspend or freeze accounts;
  • Delay or cancel pending transactions;
  • Report violations to regulators or enforcement agencies; and
  • Provide transaction and KYC data for investigation.

6. Risk Classification and Periodic Review

Paymorz™ classifies all users and merchants into risk categories (low, medium, high) based on factors such as business type, transaction value, and jurisdictional exposure. High-risk users or sectors are subject to enhanced due diligence, transaction limits, and ongoing monitoring under the RBI Master Directions on KYC (2023) and FIU-IND guidelines.

Risk classifications are reviewed periodically and may be adjusted in line with emerging threats or regulatory updates. Vendors may be approved, rejected, or classified into risk categories based on internal compliance checks, business category assessment, and transaction behavior.

7. Reporting and Enforcement

If you become aware of a violation of this Policy, you must promptly report it to compliance@paymorz.com or grievance@paymorz.com.

Paymorz™ may take any enforcement action deemed appropriate, including:

  • Account suspension or permanent termination;
  • Forfeiture or refund holds on funds under investigation;
  • Legal or criminal action under applicable Indian laws;
  • Sharing of evidence with government agencies and banking partners.

8. Cooperation with Authorities

Paymorz™ fully cooperates with the Reserve Bank of India (RBI), Financial Intelligence Unit (FIU-IND), law enforcement, and other statutory authorities for investigating or preventing illegal activities.

All disclosures of user data to authorities will be made only upon lawful written request, court order, or statutory mandate, and in compliance with the Digital Personal Data Protection Act, 2023, ensuring data minimization and confidentiality principles are maintained.

9. Consequences of Violation

Violations of this Policy may result in:

  • Immediate suspension or permanent termination of your account;
  • Withholding or forfeiture of payments pending investigation;
  • Regulatory reporting and blacklisting;
  • Legal prosecution under Indian law; and
  • Permanent denial of future access to Paymorz™ services.

Paymorz™ reserves the right to determine, in its sole discretion, whether conduct violates this Policy.

10. Policy Updates

This Policy may be updated from time to time to reflect changes in law, RBI circulars, or company practices. Significant updates will be communicated via email, website notice, or user dashboard alert, with the "Last Updated" date amended accordingly.

Continued use of the Platform after such updates constitutes your acceptance of the revised Policy.

11. Indemnity and Limitation of Liability

Users agree to indemnify and hold harmless Paymorz™, its affiliates, partners, and officers against any claim, penalty, loss, or expense arising from violation of this Policy or engagement in prohibited activities.

Paymorz™ shall not be liable for any indirect, consequential, or incidental loss resulting from account suspension, transaction blocking, or disclosures made in good faith to regulators or law enforcement under this Policy.
